SNU ENTERPRISE SUBSCRIPTION LICENSE AGREEMENT

Fee: $10,000 USD per month

THE SOFTWARE IS PROVIDED "AS-IS" WITHOUT WARRANTY OF ANY KIND, 
EXPRESS OR IMPLIED. USE AT YOUR OWN RISK.

1. SUBSCRIPTION TERMS

- This license is valid only during an active, fully paid subscription.
- The license renews monthly unless cancelled by either party.
- Access and rights terminate immediately upon non-payment or cancellation.

2. LICENSE GRANT (DURING ACTIVE SUBSCRIPTION)

During the subscription period, Licensee is granted a non-exclusive, non-transferable, non-sublicensable license to:

- Access and use the full SNU source code within their organization.
- Modify, compile, and integrate the source code into Licensee’s internal and commercial products.
- Deploy, distribute, and sell products containing compiled derivatives of SNU.
- Retain modifications and compiled derivatives in perpetuity (no source reuse after termination).

The Licensee may **not**:

- Distribute or disclose the SNU source code to third parties.
- Publish or open-source any part of the SNU source code.
- Sublicense or resell the SNU source code itself.
- Use SNU to build or offer a competing general-purpose operating system.

3. SUPPORT & UPDATES

- Includes access to updates, patches, and new versions released during the subscription.
- Technical support is available **exclusively via email** at support@snu.systems.
- Support scope includes integration, reproducible bugs, and security issues.
- Requests related to hardware adaptation, feature additions, or platform customization may require a separate consulting agreement.

4. TERMINATION & POST-TERMINATION RIGHTS

- Upon cancellation, Licensee may:
  - Continue using any previously deployed or shipped binaries (royalty-free).
  - Retain access to previously compiled versions of the code for internal maintenance only.
  - No longer modify, recompile, or access the source code.
- All access to the source repository will be revoked.
- No further updates, patches, or support will be provided.

5. LIMITATION OF LIABILITY

- Licensor’s total liability under this Agreement is limited to the total fees paid in the previous twelve (12) months.
- Neither party shall be liable for indirect, incidental, or consequential damages.
- Each party agrees to indemnify and hold the other harmless from claims arising from misuse, unauthorized access, or breach of this Agreement.

6. GOVERNING LAW

This Agreement is governed by the laws of the State of Delaware.  
Any disputes shall be resolved exclusively in the courts of Delaware, USA.

By subscribing, downloading, or using the SNU software under this agreement, the Licensee agrees to all terms herein.
